1. General Scope
These Terms and Conditions govern your access to and use of the iZem cloud-based software and services, operated by Erazem Sdn Bhd (“we”, “our”, or “us”) through our websites: www.izem.my and www.izem.com.my. All services are subject to the laws of Malaysia.

2. Acceptance of Terms
By subscribing to or using our services, you agree to be bound by these Terms and Conditions. Any conflicting terms proposed by the customer will only be valid if explicitly accepted in writing by us.

3. Subscription and Contract
• A customer subscription constitutes an offer. We may accept or reject it within 5 working days.
• A contract is only considered binding once accepted or confirmed by Erazem.

4. Scope of Services
Our software is delivered through the cloud with scalable features and customizable modules. The subscribed services are based on the features listed on our websites at the time of subscription.

5. Technical Support & Availability
• We provide technical support as outlined on our site.
• We strive for 99% system uptime annually but reserve the right to restrict access during system upgrades or to maintain network security.

6. Data Privacy & Security
• Customers are responsible for safeguarding their login credentials.
• Personal and usage data will be collected, stored, and processed in accordance with the Personal Data Protection Act 2010 (PDPA).
• We recommend regular backups; server backups are only provided if included in your subscription.

7. Limitation of Liability
• We are not liable for any damages beyond the foreseeable and typical scope unless in cases of intent, gross negligence, or legal obligations (e.g. injury or death).
• We are not liable for data loss if regular data backups were not conducted by the user.

8. Payment Terms
• SaaS services are billed monthly or annually.
• All fees exclude applicable taxes.
• Payment is due within 14 days unless otherwise stated.
• Late payments may lead to suspension of service.

9. Termination
• Subscriptions are auto-renewed unless terminated with at least 30 days’ notice before the renewal date.
• Either party may cancel the subscription in writing, subject to contract terms.

10. Governing Law
These Terms shall be governed and interpreted under Malaysian law. Jurisdiction lies in Kuala Lumpur, Malaysia.

11. Severability
If any provision is deemed invalid or unenforceable, the remaining terms will remain in full effect. Invalid terms will be replaced with valid alternatives that closely match the original intent.
